What is a Corporation?

A corporation is a separate legal entity, authorized by state statute.  The Secretary of State of each state authorizes the filing of articles of incorporation, which provide for, among other items, bylaws, stockholders, directors, officers, employees, annual meetings, resolutions and the rules and regulations by which the corporation is to operate. The corporation is a separate and distinct person; it cannot be used or operated as an alter ego of the stockholders, directors or officers. Corporate formalities must be maintained.
